When I shutdown laptop (WinXP), it will shut off, then after a brief
delay, turn back on, by itself. Essentially it is restarting rather
than shutting down.
Is there ANY chance that this could be a HARDWARE issue, or is it
without doubt a SOFTWARE issue?
Contemplating whether I should bother reinstalling the OS, or just
return the thing. I'm suspecting that I bought a lemon, thus am
hesitant to fix it myself, only to have trouble down the road.

Check in system properties for restart on error - the error occuring
during shutdown. System Properties, Advanced tab, Startup and Recovery
button, System Failure section, uncheck Automatically restart. Write an
event to the system log should be checked.
Then check Event Viewer logs for errors and warnings. Resolve those
first since it could be something very simple.
