It popsup when no programs are running on the computer or when 5
programs are running.  OS - XP 64 bit.  Seems to be random.

Sorry, it still is insufficient information.

Can you capture a screen and post it in  news:alt.binaries.comp.virus
Or on a web page and reference theat posting/hosting in your reply.

So what processes are listed in Task Manager?  Is there still an
instance of iexplore.exe running?  Just because an instance of the
browser is running doesn't mean there is a window for it.  It is an old
trick to open a hidden instance of the browser so it can run a script
which uses a timer.  However, a good popup blocker should catch opening
the instance of the browser whether it has a displayable window or not.

The popup would itself be a process so you could check in Task Manager
for it.  It is possible that it is a thread of another process, but
checking that the processes that are listed and are legitimate and the
you investigate to know they should be running is a start.  You can use
SysInternals' Process Explorer to dig into what child processes are
owned by what parent process.

So exactly what anti-malware programs have you used so far to scan your
computer for pests?

Do you really mean Ad-aware SE ?

You need to post this in a Microsoft News Group related to IE7.

That's why I said to check Task Manager because it DOES look like you
have an instance of IE running.  Just because you don't see a *window*
for IE doesn't mean it isn't running.  Check Task Manager for instances
of iexplore.exe.

That's a general warning about a potential problem detected by IE7. Even
when IE is closed it still runs in the task manager for a while just in case
you need to open it again it will open faster. It is not spyware or malware
related. It is by design.
