Do you just want to georeference the image or do you want to
orthorectify it?
As for the projection in ArcGIS, check first in ArcCat what the
specified coordinate system is for you data and does it make sense?
If you have a file in lon/lat but tell ArcCat that it is in a UTM then
it will look very odd. Don't forget that the coordinate system of the
data frame in ArcMap is not directly related to the coordinate system
of the layers in the frame (except for the first layer opened).
