Hey,
Shapefiles are too simple to handle the potential complexities of cad
files (annotation, for example), such as a dwg. Therefore, your cad
files must be imported into a geodatabase. You can create a personal
geodatabase for this purpose quite easily. In ArcCatalog,
file/new/personal geodatabase. There is also a toolbox function
available in ArcMap.
There is a great collection of geoprocesing models, created by ESRI,
that make working with cad files withing ArcMap so very much easier:

models will give you the help you need.
